1. Acceptance of the Stepha Card Terms and Conditions
These Stepha Card Terms (“Card Terms”) are supplemental to, and form part of, the Stepha Terms of Use (the “Terms”) https://www.stepha.com/terms-conditions. Words and expressions defined in the Terms shall have the same meaning in these Card Terms and additional definitions are used in these Card Terms. For the avoidance of doubt, by accepting these Card Terms, you agree to be bound by these Card Terms subject to all applicable laws and regulations and agree that you are responsible for compliance with any applicable law. In case of any contradiction between the Terms and the Card Terms, the Card Terms shall prevail.
Stepha Card (the “Card”) and the additional services specified herein (together with the Card, referred to hereafter as the “Services”) are developed and provided by Reap Global (“Reap”) for Qulifi Holding Limited, a company duly incorporated and existing under the laws of Hong Kong with registration number 76370334, and wholly operated by its subsidiaries, Velocint Limited, a company registered and existing under the laws of the Republic of Poland with registration number 0001119475 and Vasp number RDWW-1435, and Point Banc LTD, a company registered and existing under the laws of Canada, with registration number 738397819, and FINTRAC MSB M23999708. Depending on where you live, the company which provides you with your chosen Services may be Velocint Limited, or Point Banc LTD (we call this company your “Services offering entity”).
Your access and use of the Card and Services is expressly conditioned on your acceptance of and compliance with these Card Terms. By using the Card and applying for the Card and Services , you represent and warrant that you are of legal age to form a binding contract with us and have the authority to do so either on your own behalf or on behalf of a company or other legal entity, and that you have read and understand, and accept and agree to comply with and be legally bound by, these Card Terms in full. If you do not agree with anything contained in these Card Terms, please do not apply for the Card and/or use the Card.
2. Scope of Reap services
The scope of services provided to you by Reap Terms and Conditions – Reap is limited to Card issuing and its role is ancillary to the provisions of services by Stepha, the usage of which is governed by the separate Terms which you must agree to be bound by. If you are reading these Card Terms, this means that you have decided to use the services provided by Stepha.
Scope and nature of the Stepha Services are governed by the Terms and these Card Terms.
Each time you use the Card, Stepha settles with Reap the Card transaction. This Service is provided by Stepha and it is governed under the arrangement between
you and Stepha. Reap does not provide any services under the Terms, it is not involved in your arrangements with Stepha.
3. Applying for the Card
If you apply for a Card, you will be required to provide certain personal information. You agree that we may share personal information you previously provided to us under our Privacy Policy Privacy Policy to verify your identity, with Reap and with service providers acting on our behalf or on Reap’s behalf solely to verify your identity or address, and/or to manage risk as required under applicable law. Personal information shared with Reap will be treated in accordance with its Privacy Policy https://reap.global/privacy-policy. If you do not provide this information, or if we or Reap are unable to verify your identity with the information you provided to us, your application for a Card will not be considered. We may refuse to facilitate processing of your application if we determine in our sole discretion that you are in breach of the Terms and or our Card Terms and or the Reap Terms.
4. Using the Card
The Card is a Visa bearer card. It is valid until its expiry date, which is visible on the Card image accessible online for virtual cards and payment bands.
You can use it at all locations that display the Visa Acceptance Mark, save for the ineligible jurisdictions as per our Terms and Reap Terms and Conditions: for online, contactless and telephone purchases. You can also enrol it in Apple Pay Apple Pay Terms and Conditions and Google Pay Google Pay Terms and Conditions – Reap. The Card, cannot be used for other cash transactions such as withdrawing cash from a bank, an ATM and purchasing traveller’s cheques or foreign exchange from a bureau de change. Limits and fees apply.
The Card is automatically registered for Visa Identity Check, to enhance security. When using the Card for online purchases, you may be required to enter on the merchant site a code (the “Code”) that will be sent to your mobile phone number or to authorise a transaction via the App.
In so far as this is not a result of our negligence, we will not be responsible nor liable for a retailer’s failure to or delay in accepting the Card. In these circumstances, we will not be liable for the way in which you are told about any refusal or delay.
All transactions require authorisation. Authorisation is also your instruction for us to carry out a transaction. We will not normally authorise a transaction if the balance on the Card is insufficient to cover the transaction and any related transaction fee. If, for any reason whatsoever, you are able to make a transaction when there are insufficient funds on the Card (the “Shortfall”), we will seek reimbursement of the Shortfall from you immediately. You may ask us to provide you with information about transactions for up to 5 years from the date of the transaction.
For a contactless transaction:
Below the limit applicable in the country where you are using the Card (“Contactless Limit”), which is outside the control of Reap, a transaction is deemed authorised upon transmission of the details of the Card that are required to execute the transaction, by placing the Card in the proximity of the device that allows for reading the data saved in the Card contactless module; and
In so far as this is not a result of our negligence, we are not obligated to authorise a transaction where a system problem occurs or events outside our reasonable control arise. In addition to that we are not obligated to authorise a transaction where we are concerned about misuse of the Card. We shall not be liable to you when a transaction is not authorised in these circumstances and/or if we cancel or suspend use of the Card.
If the Card is lost or stolen, or if you think the Card, or card number, may be misused, you must:
● freeze the Card immediately by either logging to your Stepha account (“Account”) or by contacting us via email at [email protected] so that we can freeze the Card;
● stop using the Card, and or Card number immediately.
A Card transaction will be regarded as authorised by you when you authorise the transaction by following the instructions provided by the merchant, or the retailer which may include:
● providing the Code;
● providing the Card details and/or any other details as requested; ● waving or swiping the Card over a card reader for the purpose of making a payment.
When we suspect there may be an attempt to use the Card fraudulently, we may ask you to confirm a transaction prior to or after authorising it. Authorisation for a transaction may not be withdrawn or revoked by you.
5. Using the Card in foreign currencies
If you make a payment with the Card in a currency different from the currency of the Card, the amounts will be converted by Reap on the date they process the transaction, using the exchange rate they use for all such currency conversions. This means the rate of exchange may differ from the rate on the date you made the card payment, if the payment is processed by the card scheme after that date. We also charge a fee based on the payment amount.
Card terminals may offer you the option of seeing the payment amount or withdrawal in the currency of the Card or in a currency other than the cash withdrawal or purchase currency and allow you to choose to pay that amount in that currency. The
exchange rate used for this will generally be provided by the operator of the terminal, it will therefore not be under our control and will not be covered by the fees and charges payable to us through your Account. Please check the exchange rate at the terminal or with the respective operator before authorising the transaction.
As soon as practical after you make a Card transaction in foreign currency we will display as part of the transaction information we provide in the App or the Website, details of the amount of the conversion to the currency of the Card.
6. Protect the Card
You must keep safe at all time the Card details – including PAN (the 16 digits number displayed on the front of the Card), expiry date, CVV (the 3 digits number, displayed on the back of the Card), and any passwords and devices you use to access security details of the Card and/or Account by any method (together the “Personalised Security Features”). This also includes any Card details in e-wallets, on retailer’s websites or on devices such as mobile phones. If you have registered a Card on a device or within an e-wallet this will include passwords and security processes used to access your device or e-wallet (device ID, passcodes or passwords) and any fingerprints or other biometric or identification methods stored in your device. Please note that not all Personalized Security Features may be applicable to the Card.
We will never contact you to request any of your Personalised Security Features and we will not ask anyone else to do so on our behalf. If you receive such a request it is likely to be fraudulent and you must not supply any of your Personalised Security Features in any circumstances. You should report any such activity to us immediately. Treat emails received from senders claiming to be us with caution and be wary of emails asking you for any Personalised Security Features.
When you contact us we may need to identify you, depending on the nature of your query. We may do this by asking for certain information (such as answers to questions) known only to you and requesting random digits of certain passcodes or passwords, but we would never ask you for a full passcode. You must not give these to anyone who asks for them, even if that person appears to be an official.
You are responsible for the quality, safety, legality or any other aspect of any goods or services that you buy with the Card. Any disputes about purchases or payments made with the Card must be settled with the goods or service provider concerned.

7. Fees
By accepting the Card Terms you hereby agree to pay all applicable fees and charges associated with or incurred by your use of the Card and your Account. Fees and charges are available to view in your Account.
Fees, charges and other amounts payable by you shall be debited to the Account. If there are no funds in the Account or if the funds are insufficient to cover the fees, charges, other claims and the debts arising from the Card Terms, we are entitled to suspend provision of the Services to you until such fees, charges and indebtedness are covered or inactivate the Card as per section 10 below.
You are informed that we may at any time modify any or all of the fees and charges displayed in your Account and you shall be deemed to have been notified of and bound by the changes. You are responsible for periodically checking the fees and charges in your Account for updates. Updates will take effect immediately once the updated fees and charges are displayed in your Account.
8. Information Regarding Card Transactions
To view the balance of the nominated Card and transaction history you can do so by logging into your Account. Upon your request we will provide additional statements and/or transaction records. You may ask us to provide you with information about transactions for up to 5 years from the date of the transaction, even after you cease to be a user of our Services, and we will provide it to you free of charge in electronic form. Fees may apply if you ask us for information more often than twice a month.
9. Stepha Liability
Within the limits permitted under the applicable laws, and subject to the limitations defined in these Card Terms and the Terms, we are liable for due performance of our obligations set out in these Card Terms and the Terms.
You cannot claim a loss or damage from us if:
A. you are claiming for loss of business, loss of goodwill, loss of opportunity or loss of profit – we will not be liable for these in any circumstances;
B. you have acted fraudulently or with gross negligence;
C. you are in breach of the Card Terms and or the Terms , or provided us with any incorrect information if there is a clear causal link with the damage;
D. our failure was due to abnormal and unforeseeable circumstances outside our control, which meant we could not follow our obligations under the these Card Terms and or the Terms despite our best efforts to do so, for example, a hardware breakdown, strike, or a major problem with a payment system;
E. you are claiming for consequential loss which is not reasonably foreseeable as a result of our breach of these Card Terms and or the Terms.
None of the aforementioned exceptions will apply, and will stop us from being liable, if:
● we act fraudulently;
● we act with gross negligence; or
● we are at fault and the law does not allow us to exclude or limit liability. The other liability of the Parties shall be governed by the Terms.
10.Restriction, Suspension and Termination of the Card Service
These Card Terms expire on the Card expiry date unless, unless, prior to expiry, you request for the issuance of a replacement Card.
Whilst a Card remains unexpired the Card Terms will be of indefinite duration and will continue unless terminated at any time by you, or by us in accordance with the processes set out below.
Unless the Card Terms specify otherwise, if you do not request for a replacement card prior to the Card expiry date the Card expiry will result in termination of the Card Terms, provided that there are no outstanding fees and charges, after which access to the Account may be limited and the remaining funds will only be available for redemption.
When you can terminate the Services
If you wish to, you can terminate the Services at any time by formally informing us via email [email protected].
When we can Restrict, Suspend, and or Terminate the Services
In addition to Section 11 of the Terms, Card Transactions or your Card use may be restricted, suspended or terminated with immediate effect in situations where:
A. We are, in our reasonable opinion, required to do so by contract or by applicable law or any court or other authority to which we are subject in any jurisdiction;
B. We reasonably suspect you of acting in breach of these Card Terms (including any provision of the Terms), or the Reap Terms;
C. We have concerns that a Card Transaction is erroneous or about the security of your Card or your Account or we suspect the Stepha Services are being used in a fraudulent or unauthorized manner;
D. The security of the Card, or Card number is compromised. For example: when the wrong Card number is entered several times in a row;
E. We suspect money laundering, terrorist financing, fraud, or any other financial crime;
F. You refuse to cooperate with Stepha’s and or Reap’s legitimate requests, e.g., by not providing information to confirm your identity or on the source of funds;
G. You give us any false information or attempt to mislead us at any time; H. You inappropriately allowed someone else use your Card;
I. Use of your Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity;
J. You have insufficient funds in your Card to cover the total transaction price of the relevant Card transaction.
K. We find out that you are no longer eligible for it (for example, through residence status). We will try to tell you in advance if this happens, but if by continuing to offer you the Services we would break any rules or laws, we would have to cancel it or block it immediately;
L. If there are no transactions (other than fee and charges) on the virtual Card for a period of 3 (three) months and the Card has insufficient funds to cover such fees and charges, Stepha reserves the right to deactivate your virtual Card, about which Stepha will notify you 10 (ten) days in advance. For the avoidance of doubt, all other Stepha Services will be unaffected.
If Card Transactions, your Card use and/or any or all Stepha Services are restricted, suspended or terminated in this way, we will (unless it would be unlawful for us to do so), provide you with notice of our actions and the reasons for refusal, restriction, suspension, or termination where appropriate, with the procedure for correcting any factual errors that led to the refusal, suspension or termination. In the event that we decline a card transaction and/or restrict, suspend, or terminate your use of the Card and any/or any or all Stepha Services, we will lift the restriction, suspension, or termination as soon as reasonably practicable once the reasons for decline and/or restriction, suspension, or termination cease to exist.
